Xtradite Digital Ltd is a UK-based ecommerce consultancy offering digital services including but not limited to Shopify development, Klaviyo automation, CRO audits, content strategy, and performance marketing.

• Use the Site in any way that breaches applicable laws or regulations

• Attempt to gain unauthorised access to any part of the Site or related systems

• Introduce viruses, malware, or any other harmful technology

3. Service Engagements

All service engagements — whether one-off or ongoing — are governed by individual scopes of work, quotes, or written agreements. Payment terms, deliverables, and timeframes are set out clearly in project communications and must be agreed before work begins.

We reserve the right to refuse service or terminate an agreement if a client is in breach of these Terms or any agreed scope.

4. Pricing & Payment

We operate on a flexible pricing model, including:

• Pay-as-you-go blocks

• Hackathon sessions

• Membership retainers

• Custom project quotes

Full payment terms (e.g. 50% upfront, PAYG terms, invoicing cycles) will be defined at the point of engagement. Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5. Intellectual Property

All content, code, designs, documents, and strategy produced by Xtradite Digital remain the intellectual property of Xtradite Digital Ltd unless otherwise agreed in writing. Upon full payment, clients receive a licence to use agreed deliverables for their business.

You may not copy, reproduce, or resell any part of our materials or services without permission.

6. Confidentiality

Both parties agree to maintain confidentiality regarding sensitive or proprietary business information shared during the course of any project. This obligation survives the completion of the project or termination of services.

7. Limitation of Liability

We provide services with reasonable care and skill. However, to the fullest extent permitted by law, Xtradite Digital Ltd shall not be liable for:

• Loss of profits, revenue, or data

• Business interruption or indirect damages

• Any issues arising from third-party platforms (e.g. Shopify, Klaviyo) outside our control

Our total liability is limited to the amount paid for the specific services in question.

8. Third-Party Services

We may recommend or integrate third-party tools as part of our work. We are not responsible for those tools, nor do we guarantee their availability, pricing, or suitability. You agree to use third-party services in accordance with their own terms and conditions.

9. Cancellation & Termination

Either party may cancel or terminate a service agreement with reasonable notice. For PAYG or retained hours, used time will be billed accordingly. Refunds may not be issued for partially completed work unless explicitly agreed.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
